Finish the Crimson Fleet Questline While Siding With Mathis
Mathis can join your crew once you complete the Crimson Fleet questline and join them. Mathis must also remain with the Crimson Fleet at the end. To guarantee this, you must tell Delgado that Mathis helped find information on the Kryx's Legacy during Echoes of the Past.
Once these conditions are satisfied, you can recruit Mathis at the Key.
