Found in chapter 4. Under Junon, go down to the dock area then make a left turn. You can find the Materia beside the 2 NPCs near a boat.
The HP Up materia can be obtained from the following combat simulator stages.

The HP Up materia can be purchased from stores that sell materia from chapter 6 onwards.
A level 2 HP Up Materia can be obtained by getting an A rank on the “On Our Way” Piano piece in Nibleheim.
