Inside of the Well of Urdr. When you get to the area with a lot of branches, head to the right most and climb the rocks to the top.

When you get inside of the Well of Urdr, immediately after sliding down deeper into the cavern, dive into the pool of water below and follow the underwater tunnels to get to the chest.
