Second HP up materia is in the shinra headquarter men's bathroom vent across from where cloud crawls upward to the exclamation point.

First HP up Materia in Chapter 2. After encountering Aerith, you will be attacked. At this point you can backtrack and find it behind a car in a previously inaccessible area (originally Cloud avoids it because of Shinra troops).
